Taseta Inc.
Terms of Use (Canada)
Taseta Inc. ("Taseta" or "we", "us", "our") operates a ridesharing platform that connects independent drivers ("Drivers") with passengers ("Passengers") to enable them to agree and enter into arrangements with each other for ridesharing services and related transportation services ("Ride Services"). We have established these Terms of Use to govern your use of the website [insert website link] (the "Website"), the ridesharing application [insert application name] (the "Application"), as well as any software, related application, webpage, and any information and content related thereto, including, without limitation, HTML code, software, codes, data, texts, documents, images, photographs, videos, icons, and designs (collectively, the "Content"), whether you are a Driver or a Passenger (collectively, a "User").
YOU ACKNOWLEDGE AND AGREE THAT BY ACCESSING OR USING THE WEBSITE, THE APPLICATION, OR THE CONTENT, YOU INDICATE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF USE. If you do not accept these Terms of Use, you have no right to access or use the Website, the Application, or the Content.
The Website, the Application, and the Content are not intended for use by minors (i.e., individuals who have not reached the legal age in the jurisdiction where they reside). If you are a minor, you must only use the Website, the Application, and the Content with the permission and under the supervision of a parent or guardian.
For the purposes of these Terms of Use, a "Ride" means a journey between an origin and a destination at a specified date and time, as published by a Driver on the Website or the Application. Ride details include the pickup point, the drop-off point, the number of available seats, and space for personal belongings. Each Ride is created and managed by the Driver. A "Booking" means a reservation for one or more seats on a Ride, made by a Passenger via the Website or the Application by completing an online payment prior to the Ride.
Taseta provides a platform that allows individuals acting in a personal capacity to connect and organize private and non-commercial ridesharing. Drivers use their own personal vehicles and decide which ride requests facilitated by the Website or the Application they wish to accept or reject. Any arrangement for a ride is solely between the Driver and the Passenger. Taseta is not a party to any agreement between Users, and Users have no employment, partnership, joint venture, franchise, or agency relationship with Taseta as a result of using the Website or the Application.
To the extent permitted by applicable law, Drivers and Passengers may choose to participate in optional identity and background checks (which may include criminal record checks and, if available, vulnerable sector checks) conducted by third-party service providers ("Safety Checks"). Users who complete one or more Safety Checks may have a shield or similar badge displayed on their profile to indicate that a Safety Check was performed by a third party on a specific date. Taseta does not conduct, validate, revalidate, endorse, or guarantee Safety Checks or their results and assumes no liability in this regard. Any reference to a User as being "verified", "safe", or similar, or any display of a badge or shield, indicates only that certain information has been provided and/or that a Safety Check was reported as completed on a specific date, and represents nothing else, including a guarantee of a User's identity, background, driving record, insurance, skills, suitability, or the condition of any vehicle. Users are solely responsible for determining whether another User is appropriate for a specific ride and for confirming compliance with all licenses, permits, registrations, and insurance required by applicable law. Furthermore, although Taseta may request Users to upload an image of their government-issued ID (including a driver's license) for profile and safety purposes, Taseta does not validate, authenticate, or verify government-issued IDs.
Notwithstanding any feature of the Website, the Application, or the Content that might help expedite selection, each Passenger is solely responsible for choosing or approving a Driver for a ride and must conduct all research and exercise all caution they deem necessary before booking or taking a ride. Each Driver is solely responsible for choosing or approving Passengers for a ride.
Users acknowledge that Taseta does not provide transportation services and does not employ, supervise, direct, monitor, or control Drivers or the Ride Services facilitated by the Website, the Application, or the Content. Taseta has no control over, and assumes no responsibility for, the quality, safety, competence, qualifications, suitability, schedule, route, legality, condition of any vehicle, or any other aspect of a Driver's Ride Services, or a Driver's failure to provide the Ride Services.
Passengers must contact Drivers via the Website or the Application to arrange Ride Services and discuss any travel conditions, including luggage size, equipment, and other relevant details.
All Rides, including pickup and drop-off locations, must be arranged in advance via the Website or the Application. Drivers must not pick up Passengers at a location that has not been agreed upon in advance via the Website or the Application. Drivers must only publish Rides when they are certain of the date, time, and route, and must not publish Rides speculatively.
To ensure a reliable ridesharing experience, all Payments (as defined below) must be processed online via the Website or the Application. Other forms of payment, including cash, electronic transfers, or any other online or offline payment method, are not permitted and may result in the suspension or closure of your Account (as defined below).
Taseta uses Stripe (www.stripe.com), a third-party payment processor, to process Payments. Stripe is a secure payment gateway, and your credit card information is stored directly with Stripe rather than on Taseta's servers.
By using the Website or the Application, you consent to Stripe storing and processing your payment information in accordance with Stripe's terms of service (https://stripe.com/legal). Funds processed by Stripe are held by Taseta until they are disbursed in accordance with these Terms of Use.
Taseta collects a service fee on each Booking (the "Booking Fee"). The Booking Fee is added to the amount payable to the Driver for the Ride Services (the "Contribution", and together with the Booking Fee, the "Payment") and is payable by the Passenger at the time of Booking.
Payments for Contributions made via the Booking feature and owed to Drivers may, under exceptional circumstances, accrue interest if they are not disbursed in a timely manner. You agree to waive any claim relating to accrued interest on any Contribution to which a Driver is entitled.
THE PASSENGER IS RESPONSIBLE FOR PROVIDING VALID CREDIT CARD DETAILS AND/OR OTHER PAYMENT ARRANGEMENTS AND FOR THE TIMELY PAYMENT OF ALL FEES THAT THE PASSENGER HAS AGREED TO PAY VIA THE WEBSITE OR THE APPLICATION (AS APPLICABLE).
We may contact you by email regarding your Account, for example, in the event of an issue with your credit card. You agree to respond to any request from Taseta, the bank, or any legal entity regarding the prevention or fight against fraud and/or money laundering. In particular, you agree to comply with these requests by providing valid identification documents. In the absence of an immediate response to these requests, you agree in advance to allow Taseta to freeze any funds that may be owed to you in connection with Rides or Bookings and/or to restrict your access to Ride Services.
Except as otherwise agreed or stated in these Terms of Use, all Payments are non-refundable.
For the purposes of these Terms of Use, a "Payout" means the funds paid to a Driver following a Ride, consisting of the Contribution, and sent via the payment method selected by the Driver.
Drivers can receive Payouts by entering their bank account details into their Account. Bank account Payouts can only be processed to Canadian bank accounts in Canadian dollars. Taseta is not responsible for verifying that bank details have been entered correctly, and any Payout sent to an incorrect bank account cannot be cancelled. Taseta may require Drivers to complete additional verifications for safety and fraud prevention purposes, including providing a valid government-issued ID.
Drivers can also receive payment by linking their PayPal account to their Account. PayPal payments can be processed in Canadian dollars or foreign currencies, subject to applicable exchange rates. Taseta is not responsible for verifying that PayPal account details have been entered correctly, and any payment sent to an incorrect PayPal account cannot be cancelled.
Following the completion of a Ride, each Payment made by a Passenger is subject to a four (4) day clearing period. During this period, Passengers can dispute their Booking. If no dispute is raised during the clearing period, the Payment is validated on the fourth (4th) day.
Once the Payment is validated, the Contribution will be available to be sent to the Driver as a Payout. The Driver must have saved a valid Payout method in their Account before a Payout can be processed. Payouts are processed and sent to Drivers once per day.
Once the Payout is sent, additional processing time is required for the funds to reach the Driver's account, depending on the selected Payout method. Payouts to bank accounts take approximately two (2) to eight (8) business days, and Payouts to PayPal accounts take approximately zero (0) to two (2) business days.
If a Driver does not save a valid Payout method within three hundred and sixty-five (365) days following the departure date of the Ride, the Payout will be forfeited and the funds will be retained by Taseta.
To be eligible to receive a Payout for a Ride, the Driver must:
(i) arrive at the agreed pickup location at least five (5) minutes before the scheduled departure time;
(ii) inform all confirmed Passengers of any changes made to the Ride details (including changes to schedule, pickup location, or drop-off location) prior to departure; if a Passenger does not accept these changes, they may cancel their Booking without penalty and no part of their Payment will be owed to the Driver;
(iii) not depart from the pickup location before the agreed departure time and make reasonable efforts to contact any Passenger who has not arrived before departing; the Driver may, at their discretion, wait for late Passengers;
(iv) personally and safely drive the Passengers to the agreed destination (the Driver must be the primary driver of the Ride); and
(v) not operate a commercial or for-profit transportation service, unless otherwise agreed in writing with Taseta.
Drivers are responsible for ensuring that Contributions do not exceed their actual operating costs, such as fuel, insurance, and maintenance. For example, if a Driver charges 18 cents/km for 5 Passengers (amounting to a total of 90 cents/km) and is later subject to an audit or an insurance claim, they may be held liable for carrying out a commercial activity. Although Taseta provides the platform to connect Drivers and Passengers, each Driver acknowledges and agrees that they are solely cost-sharing and are not operating a commercial service.
Taseta reserves the right to issue a refund to a Passenger, suspend or close a Driver's Account, and/or withhold any pending Payout if the Driver fails to comply with any of the aforementioned conditions.
Taseta collects a service fee on each Payout intended for a Driver (the "Payout Fee"). The Payout Fee is deducted from the amount owed to the Driver and is withheld during the Payout process.
If you are a Driver, you represent, warrant, and covenant that you:
(a) are of the legal age of majority in your jurisdiction and hold and have uploaded to the Website or the Application a valid and current driver's license of the appropriate class, in good standing, without restrictions that would prevent you from providing Ride Services; and you will promptly notify Taseta of any suspension, restriction, medical condition, or other change regarding your license status;
(b) maintain, at your own expense, all insurance required by applicable laws to provide private and non-commercial ridesharing Ride Services, including third-party liability coverage equal to or greater than statutory minimums; you will provide proof of insurance upon request and promptly notify Taseta of any lapse, cancellation, or material modification to the coverage;
(c) use only a personal vehicle that you own or are expressly authorized by the owner to use for ridesharing; this vehicle is properly registered and plated, maintained in a safe and roadworthy condition, and, where required by law, has an up-to-date safety/mechanical inspection;
(d) will provide Ride Services solely as private and non-commercial ridesharing and not as a taxi, limousine, or other on-demand transportation service; you will not make any profit on a Ride; you will not charge more than the cost-sharing amounts permitted by applicable law and will comply with all municipal bylaws and provincial/territorial/federal laws that apply to ridesharing, transportation, and insurance;
(e) will not provide any additional services to a Passenger other than the Ride Services, including package delivery, waiting time, additional drop-off or pickup points, and collecting additional passengers (other than the Passenger);
(f) will comply with all applicable traffic and road safety laws when providing Ride Services, including laws relating to seat belts and child restraints, distracted driving and mobile device use, impaired driving, speed limits, winter tire or traction requirements, and occupancy limits; you will not drive under the influence of alcohol, drugs, fatigue, or any condition that could compromise safety;
(g) will provide Ride Services in a timely, safe, clean, respectful, and professional manner, notably by ensuring adequate seating and seat belts for all occupants, not smoking or vaping in the vehicle during Ride Services, and adapting to weather and road conditions;
(h) will not subcontract, delegate, share, or allow another person to provide Ride Services under your Profile or your account; you alone can provide the Ride Services booked via your Profile;
(i) ensure that all information you submit to Taseta or display on your Profile, including your identity, age, driver's license details, vehicle information (make, model, year, plate), insurance particulars, registration, and any required inspection certificates, are true, accurate, current, and complete, and you will promptly update them in the event of any change;
(j) consent to Taseta and its third-party service providers collecting, receiving, verifying, and using information and records relating to your driving and eligibility, including your driving record, license status, criminal background check (if applicable), insurance details, vehicle registration, and inspection records, for safety and compliance purposes; any driving record, certificate, or other document you provide is complete, unaltered, and faithfully reflects your status and record as of the date indicated;
(k) have no criminal convictions, prohibitions, suspensions, or other legal restrictions that would disqualify you from providing Ride Services; you will promptly disclose to Taseta any new criminal charges or convictions (other than minor traffic tickets not involving safety), any license suspension or prohibition, any major traffic offense (including impaired, dangerous, or distracted driving), and any collision occurring while using the Website or the Application resulting in injury, property damage, or an insurance claim; and
(l) are solely responsible for the acts and omissions of any person you authorize to ride in your vehicle and for compliance with all legal obligations incumbent upon you in connection with providing Ride Services.
If a Driver accepts, enables, permits, or attempts to provide an arrangement or service that falls outside the scope of these Terms of Use, including, but not limited to, additional services, unauthorized pickup or drop-off locations, delivery of goods, or requests for additional payment, Taseta may, at its sole discretion, issue a total or partial refund to the Passenger and/or withhold or cancel any pending payout owed to the Driver. This applies even if the Passenger initiated, requested, or otherwise contributed to the violation. The Driver acknowledges that as the party with final authority to accept or refuse a booking, they bear primary responsibility for ensuring that each Ride complies with these Terms of Use.
Taseta may require proof of your compliance with the foregoing at any time and may suspend or terminate your access to the Website or the Application in the event of non-compliance.
If you are a Passenger, you represent, warrant, and covenant that you:
(a) will ensure that all information you submit to Taseta or display on your Profile, including your identity, age, contact details, and any other information requested by Taseta, is true, accurate, current, and complete; and you will promptly update this information in the event of any change;
(b) will pay all amounts you agree to pay for Ride Services via the Website or the Application in a timely manner using valid payment methods, including the Contribution and the Booking Fee; you will not attempt to circumvent the Website or the Application for payments or refunds, and you acknowledge that, unless otherwise stated by Taseta, fees and charges are non-refundable;
(c) will be ready for pickup at the agreed time and location, promptly communicate any delays or changes, and act cooperatively and respectfully with Drivers and other Passengers, including following the Driver's reasonable safety instructions;
(d) will not request the Driver to perform additional services other than the Ride Services, including package delivery, waiting time, additional drop-off or pickup points, and collecting additional passengers (other than the Passenger);
(h) will treat the Driver's vehicle with care; you are responsible for the costs of any repair or cleaning necessitated by your acts or omissions (or those of your guests or dependents) beyond normal wear and tear, and you authorize Taseta to facilitate such charges in accordance with these Terms of Use and applicable policies;
(i) will not engage in behavior that interferes with safe driving, including distracting the Driver, obstructing mirrors or controls, or requesting the Driver to violate traffic or road safety laws (for example, speeding or dangerous stops);
(j) acknowledge that ridesharing may involve shared routes and minor route adjustments; you will not require a Driver to deviate materially from the agreed route or schedule without the Driver's consent; and
(k) are responsible for the acts and omissions of any person accompanying you on a ride you have booked, including ensuring their compliance with these Terms of Use and applicable laws.
Taseta may require proof of your compliance with the foregoing at any time and may suspend or terminate your access to the Website or the Application in the event of non-compliance.
Drivers can publish Rides on the Website or the Application by indicating the origin and destination, departure date and time, number of available seats, and any other relevant information.
The Driver who publishes a Ride must be the primary driver of that Ride and cannot delegate driving responsibilities to another person. If another driver is to participate in driving during the Ride, this must be disclosed to Passengers and accepted by them prior to departure.
Within the scope of a Ride, Passengers can exchange messages with the Driver and make Bookings. Taseta provides a messaging feature via the Website and the Application to enable communication between Users. Drivers and Passengers can exchange messages to discuss Ride details, such as luggage, pickup arrangements, or other travel conditions. Users cannot exchange personal contact information (such as phone numbers, email addresses, or links to external websites) via the messaging feature until a Booking has been confirmed.
Passengers can only book one or more seats on a Ride by making an online payment using a valid credit or debit card via the Website or the Application. Upon receipt of payment, Taseta will confirm the Booking.
Once a Booking is confirmed, both the Driver and the Passenger are bound by the Booking, and all cancellations are subject to the cancellation terms set forth in these Terms of Use.
The Driver and the Passenger will be notified of the Booking via the email address or phone number registered in their Account. A Booking is valid only under the registered name of the User and is void if made under any other name. Upon confirmation of a Booking, the Driver is required to complete the Ride as agreed. The Driver must ensure that there are sufficient seats and seat belts in the vehicle to safely accommodate all confirmed Passengers.
Drivers can choose between two Booking systems for their Rides:
(a) Booking Request. Under the "Booking Request" system, the Driver chooses to manually approve or decline each Booking request. When a Passenger submits a "Booking Request", a payment authorization is placed on the Passenger's card. The Passenger can specify a Booking request expiration period between 1 and 24 hours, during which the Driver must approve or decline the request. If the Driver approves the request, the Booking is confirmed and the Payment is collected. If the Driver declines the request, or if the request expires without a response, the Booking is cancelled and the payment authorization is released. The Passenger can withdraw a Booking request without charge at any time before the Driver approves it.
(b) Instant Booking. Under the "Instant Booking" system, the Driver chooses to have Bookings approved automatically without manual review. When a Passenger selects "Instant Booking", the Booking is immediately confirmed and the Payment is collected.
A Driver can cancel a maximum of one (1) Ride with confirmed Booking(s) or one (1) confirmed Booking within a six (6) month period (the "Cancellation Allowance"). If a Driver cancels a second Ride or a second Booking within the six (6) month period following their first cancellation, the Driver's Account may be placed under surveillance and may be suspended or closed.
When a Driver cancels a Ride with confirmed Booking(s) or a confirmed Booking, the following conditions apply:
(i) The affected Passenger(s) will receive a full refund of the amount paid to the Driver as well as the Booking Fee.
(ii) A cancellation note will be added to the Driver's Profile.
(iii) Taseta will review the cancellation to determine if the Driver was at fault. If it is determined that the Driver is at fault, the cancellation will count against the Driver's Cancellation Allowance. If it is determined that the Driver is not at fault, the cancellation will not count against their Cancellation Allowance.
Taseta reserves the right to suspend or close the Driver's Account at any time in connection with a cancellation if Taseta believes, at its sole discretion, that the Driver is detrimental to the experience of other Users.
Failure to show up for a Ride with confirmed Passengers constitutes a serious breach of these Terms of Use and may result in the immediate suspension or closure of the Driver's Account.
If a Passenger reports that a Driver did not show up for a Ride, Taseta will review the report.
If the no-show cannot be verified or was reported in error, no action will be taken against the Driver and no refund will be issued to the Passenger.
If the no-show is verified and it is determined that the Driver is not at fault, no action will be taken against the Driver and a full refund, including the Booking Fee, will be issued to the Passenger.
If the no-show is verified and it is determined that the Driver is at fault, a no-show note will be added to the Driver's Profile and their Account may be suspended or closed. A full refund, including the Booking Fee, will be issued to the Passenger.
Taseta reserves the right to suspend or close a Driver's Account at any time in connection with a no-show if Taseta believes, at its sole discretion, that the Driver is detrimental to the experience of other Users.
If a Passenger cancels a Booking more than twenty-four (24) hours before the scheduled departure time of the Ride, they will receive a refund of the full amount paid to the Driver. Taseta will retain the Booking Fee as a cancellation fee.
If a Passenger cancels a Booking less than twenty-four (24) hours before the scheduled departure time of the Ride, fifty percent (50%) of the amount paid to the Driver will be paid to the Driver, and the Passenger will receive a refund of the remaining fifty percent (50%). Taseta will retain the Booking Fee.
If a Passenger cancels a Booking after the scheduled departure time of the Ride, or if the Passenger fails to show up at the pickup location before the scheduled departure time, the Driver will receive one hundred percent (100%) of the amount paid to the Driver and Taseta will retain the Booking Fee. No refund will be issued to the Passenger.
In the event of a cancellation, the seats freed by the Passenger's cancellation may be offered to other Users and will be subject to the Booking and cancellation policies set forth in these Terms of Use.
If a Driver cancels a Ride following your cancellation of a Booking, the Passenger will receive a refund of the amount paid to the Driver, excluding the Booking Fee.
Under the "Booking Request" system, (i) a Passenger can withdraw a Booking request before it has been approved by the Driver, without charge; or (ii) if a Booking request expires without approval, the Passenger will not be charged. In both cases, the Booking Fee will not be charged.
Taseta reserves the right to issue refunds outside of this cancellation policy, at its sole discretion, to ensure fairness, including, but not limited to, cases where:
(i) a Booking is made using a fraudulent payment method;
(ii) a Driver operates a commercial service unauthorized by Taseta;
(iii) a Passenger makes a mistake during Booking and requests a refund within a reasonable timeframe; or
(iv) a Driver approves a Booking request without having previously agreed on Ride details with the Passenger.
Repeated cancellations of Bookings may lead to the suspension or closure of a User's Account.
If a Passenger has a confirmed Booking for a Ride and fails to show up at the designated pickup location at the scheduled departure time, the following conditions apply:
(i) The Driver will receive one hundred percent (100%) of the amount paid to the Driver and Taseta will retain the Booking Fee. No refund will be issued to the Passenger.
(ii) A no-show note will be added to the Passenger's Profile.
Taseta reserves the right to suspend or close a Passenger's Account at any time in connection with a no-show if Taseta believes, at its sole discretion, that the Passenger is detrimental to the experience of other Users.
A User has four (4) days following the scheduled departure date of a Ride to dispute a Booking, a cancellation, or a Payment via the Website or the Application. If no dispute is raised by the Driver or the Passenger within four (4) days following the scheduled departure date of the Ride, or if the Passenger confirms via the Website, the Application, or any other communication channel that the Ride was completed, the Payment to the Driver will be processed in accordance with these Terms of Use.
To raise a dispute, a User must use the dispute or review feature provided by the Website or the Application during the four (4) day dispute period.
Taseta will not process any refunds to Drivers or Passengers for disputes raised after the expiration of the four (4) day dispute period.
